Chapter Ⅰ General Provisions

ArticleⅠ The name of the organization is decided to be: Suzhou Industry Park Semiconductor and Electronics Association or 苏州工业园区电子半导体行业协会( hereinafter referred to as Association).

ArticleⅡ The Association is the social organization among electronics and semiconductor enterprises located in China-Singapore Suzhou Industrial Park (SIP), comprised of enterprises with foreign investment or investments from Hong Kong and Taiwan and other countries. It is a non-profit social organization.

Article Ⅲ Missions of the Association include: Serve members and safeguard their legal rights and interests; promote understanding, friendship, and cooperation among members for exchange of information and experience; actively reflect members’ suggestions and requirements to relevant government bodies and improve ties between members and relevant departments or bureaus; and, promote the development of the member enterprises as well as the prosperity of Suzhou Industry Park.

Article Ⅳ The SIP sponsor for the Association is the Suzhou Industrial Park Economic & Trade Development Bureau.

Chapter Ⅱ Tasks

Article Ⅴ The major tasks of the Association are:

1. Conduct quarterly meetings and activities to enhance understanding, communication, and cooperation among members so as to exchange information and experiences.
2. Look into difficulties and problems with member enterprises. ?Refer their suggestions and requirements to relevant government bodies. ?And take an active role in making proposals that affect the investment environment and cooperative conditions.
3. Conduct consultation and exchange activities among member enterprises on business information, materials, etc.
4. Organize various training programs, forums, and lectures according to members’ needs.

Chapter Ⅲ Members

Article Ⅵ Enterprise members as defined below are the only members in the Association.

1. Foreign invested electronics and semiconductor enterprises registered in China-Singapore Suzhou Industrial Park (SIP) including enterprises with investments from Hong Kong and Taiwan and other countries. Applicants must acknowledge the Articles of the SIP Electronics Association, and take part in the activities.
2. Members that do not participate in planned events or support the Association at least once per year will be removed from the Active Members List.

Article Ⅶ Rights

1. Take part in various activities organized by the Association.
2. Make suggestions or criticize Association efforts and planned actions.
3. Enjoy rights to elect, to be elected, and to vote.
4. Request support and help from the Association for protection of members’ legal interests.
5. Enjoy various services offered by the Association.

Article Ⅷ Obligations

1. Abide by Articles of the Association and follow the Association’s decisions
2. Actively take on tasks entrusted by the Association.
3. Pay the membership fee voluntarily.

Article Ⅸ Application or withdrawal (expect removing names) shall following relevant procedures

Chapter Ⅳ Organization

Article Ⅹ The highest authority of the Association is the quarterly membership company conference. ?In certain cases, it can be deferred or a temporary Member’s conference may be called.

Article Ⅺ There are four routine meetings yearly. Decisions can only be made with at least half membership company representatives present and will be valid with a simple majority of total members.? Membership companies’ GM or MD is the only designated representative for the meeting.

Article Ⅻ The Association will elect a chairman, a deputy chairman, and a steering committee comprised of not less than 5 active members.? These positions will exercise the power of the meeting when it is closed.

Article ⅩⅢ The Chairman is the senior representative of the Association, in charge of all affairs. ?The Steering Committee is to give strategic directions and advices to Chairman and help make critical decisions. ?Deputy Chairman assists Chairman in work. Secretary takes charge of routine work.

Chapter Ⅴ Supplementary Provisions

Article ⅩⅣ For amendment of the Articles, the revision plan will be submitted to the conference for discussion.

Article XV The right of explanation of the Articles belongs to the SIP Semiconductor and Electronics Association.
